Terms of Service

These Terms of Service ("Terms") govern your access to and use of ILCI-21, including all associated web applications, APIs, assessment instruments, reports, and coaching tools (collectively, the "Platform"), operated by Isozaki Coaching LLC ("we," "us," or "our"). By creating an account, accessing the Platform, or submitting assessment responses, you agree to be bound by these Terms in full. If you do not agree, you may not access or use the Platform.

If you are accessing the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and references to "you" include both you individually and the organization you represent.

ILCI-21 is a 21-item self-report organizational assessment measuring leadership effectiveness and culture health across three domains and nine subdomains:

• Self: Preferences · Talent · Awareness
• Structure: Business · Productivity · Innovation
• Systems: Culture · Strategy · Artificial Intelligence

Composite scores are interpreted through five assessment bands: Flourishing, Growing, Emerging, Withering, and Uprooted. These bands and the underlying scoring methodology are proprietary to Isozaki Coaching LLC.

Access to ILCI-21 is provisioned through your organization's account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify your organization administrator or Isozaki Coaching LLC immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate access to any account that violates these Terms, engages in fraudulent activity, or misuses assessment data.

ILCI-21 is currently provided to organizations at no cost. We do not collect payment information, charge subscription fees, or process billing transactions through the Platform.

Engagements with Isozaki Coaching LLC for consultations, workshops, or custom services are arranged through a separate written agreement between your organization and Isozaki Coaching LLC and are governed by the terms of that agreement.

ILCI-21 assessment instrument, its three-domain and nine-subdomain framework, item bank (all 21 assessment items), composite scoring methodology, five-band interpretation system, assessment band descriptions, report templates, recommendation language, coaching pathway descriptions, and all derivative materials are the sole intellectual property of Isozaki Coaching LLC and are protected under applicable copyright, trademark, and trade secret laws.

Your access to ILCI-21 grants your organization a limited, non-exclusive, non-transferable license to use the Platform and access assessment reports for internal organizational development purposes only. This license expressly does not permit:

• Reproducing, distributing, or publicly displaying ILCI-21 assessment items, scoring keys, or methodology
• Creating derivative works based on ILCI-21 instrument or its domain/subdomain framework
• Selling, sub-licensing, or commercially exploiting ILCI-21 materials
• Reverse-engineering, decompiling, or scraping any part of the Platform
• Representing ILCI-21 assessment results as certifications, credentials, or clinical diagnoses
• Presenting ILCI-21 results as equivalent to, derived from, or validated by any third-party assessment

Individual assessment responses are treated as confidential. Aggregate and anonymized data is used to generate team and organization-level insights as part of the service. We do not sell, rent, or share individual response data with third parties for marketing or commercial purposes.

You grant Isozaki Coaching LLC a limited license to process and store your assessment responses and organizational data solely for the purpose of delivering the services described in these Terms. For full details, see our Privacy Policy and Assessment Participation Consent.

Organization administrators may access aggregated team and organization-level reports. Individual-level data is accessible only to the individual participant and designated administrators as configured by your organization.

ILCI-21 IS AN ORGANIZATIONAL DEVELOPMENT TOOL. Assessment results reflect self-reported perceptions at a point in time and are intended to facilitate constructive dialogue and development planning within organizations. They must not be used as:

• The sole or primary basis for employment hiring, promotion, demotion, or termination decisions
• A substitute for professional psychological, psychiatric, clinical, or medical assessment
• Evidence in legal or regulatory proceedings
• A credential, certification, or competency verification mechanism
• A diagnostic tool for mental health, personality disorders, or neurodivergence

Isozaki Coaching LLC disclaims all liability for organizational decisions made on the basis of ILCI-21 results without appropriate professional consultation and contextual judgment.

You agree not to use the Platform to:

• Submit false, misleading, or fraudulent assessment responses
• Complete assessments on behalf of another person without their explicit written consent
• Harass, demean, or discriminate against any individual based on their assessment results
• Interfere with or disrupt the Platform's infrastructure, servers, or networks
• Circumvent any access controls or authentication mechanisms
• Use automated scripts, bots, or data harvesting tools against the Platform
• Violate any applicable local, state, national, or international law or regulation

ILCI-21 and all assessment results are provided "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or free of security vulnerabilities. We do not warrant that assessment scores accurately predict individual performance, organizational outcomes, or culture change.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ISOZAKI COACHING LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM OR ITS ASSESSMENT RESULTS.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED ONE HUNDRED DOLLARS (USD $100).

You agree to indemnify, defend, and hold harmless Isozaki Coaching LLC and its respective officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your violation of any applicable law; or (c) any misuse of assessment results by you or your organization.

We reserve the right to update these Terms at any time. Material changes will be communicated via email to the organization's account administrator or via notice on the Platform at least 14 days before the effective date of the change. Continued use of the Platform after the effective date of any changes constitutes acceptance of the revised Terms.

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations.
